This Master Services Agreement ("Agreement") is between:
Buzzword Strategies LLC, a Wyoming limited liability company, 1603 Capitol Ave, Ste 415 #465784, Cheyenne, WY 82001, operating the dentallabs.buzz brand ("Buzzword," "we," "us," "our")
and
[Client legal name], , a dental laboratory ("Client," "you," "your")
Effective Date: 2026-09-03
This section sets the numbers specific to you. If anything here conflicts with the service terms below, this Order Form controls where it says so.
Ad spend is separate. The money that pays Meta to run your ads is not part of our fee. You pay Meta directly from your own Meta ad account, recommended minimum around $50 per day, region dependent. We run your ads from your own account with partner level access only, and that access is revoked when this Agreement ends.
We run Meta ads, an AI lead-management CRM, and marketing technology to help businesses like yours win dentists. You are a dental laboratory hiring us to do that. This document is the master rules; the Order Form fills in your plan, price, and start date.
Buzzword Strategies LLC is a marketing technology company operating under the dentallabs.buzz brand that provides subscription-based digital advertising, AI-powered lead management, and related marketing technology services to its clients in the United States. Client operates in the United States under applicable federal and state law, including, where applicable, FDA, DEA, and state pharmacy board requirements, and engages Buzzword to provide subscription services under the terms of this Agreement.
Every article below opens with a short plain-English summary, because a contract you can actually read is a contract we can actually keep. The summaries are part of this Agreement. If a summary and a numbered section ever say different things, the numbered section controls, because it carries the full detail.
You pick a plan on the Order Form. Your first term is whatever the Order Form says. Each Meta ad account gets its own Order Form. You own the ad account; we get partner access to run it. When your first term ends, nothing re-locks: you simply continue month to month at the same price. Leaving is one email with 15 days notice. If your email lands inside 15 days of your next billing date, that month still bills as your last one, then everything ends on its own.
1.1 Order Forms. Each subscription to the Services is governed by a separate Order Form executed by both parties. In the event of a conflict between an Order Form and this Agreement, this Agreement controls unless the Order Form expressly states otherwise.
1.2 Term and What Happens After. Each subscription has an Initial Term as specified in the applicable Order Form, commencing on the Subscription Start Date. When the Initial Term ends, the subscription does not renew into a new committed term. It continues month to month at the same Fees then in effect, and "Subscription Term" means the Initial Term together with any month-to-month continuation. Either Party may end the month-to-month continuation by written notice sent by email under Section 11.2. If Client's notice is received fifteen (15) or more days before the next monthly billing date, no further Fees are charged and the Services run through the end of the period already paid for. If Client's notice is received fewer than fifteen (15) days before the next monthly billing date, that next month is charged in full as the final month, the Services run through the end of it, and the subscription then terminates automatically, with nothing further owed and nothing further for Client to do. Section 9.1 applies only during an Initial Term, never to the month-to-month continuation.
1.3 Meta Ad Account. Each Account must be owned by Client. Buzzword shall have partner-level access to the Account solely for the purpose of delivering the Services. Client is responsible for maintaining the Account in good standing with Meta.
1.4 Ad Spend. Ad Spend is not included in the Subscription Plan or Fees. Client is solely responsible for all Ad Spend, which is paid directly by Client to Meta through Client's payment method attached to the Account. Buzzword does not collect, process, or assume liability for Ad Spend.
Your monthly fee auto-charges to the card on file on the first business day of each month, through a secure processor (we never store your card). Taxes are on you. We can never raise fees during your committed term; after it, any change needs 60 days written notice first. If a payment fails you get 3 business days to fix it before we can pause service; unpaid 30 days lets us end that Order Form for cause, and amounts more than 30 days late can carry 1% monthly interest. Spot a billing mistake? Tell us within 15 days.
2.1 Fees and Taxes. Client shall pay the Fees stated in each Order Form. Fees are exclusive of taxes. Client is responsible for all applicable taxes arising from the Services, other than taxes on Buzzword's income.
2.2 Billing and Payment. Fees are charged automatically to Client's payment method on file on the first business day of each month. Buzzword does not store payment method information directly; all payment data is held by Buzzword's third-party payment processor.
2.3 Late Payment and Suspension. If Client's payment method is declined, Client must resolve the failed payment within three (3) business days, after which Buzzword may suspend access. If a failed payment remains unresolved for thirty (30) days, Buzzword may terminate the applicable Order Form for cause. Amounts more than thirty (30) days past due may accrue interest at one percent (1%) per month, or the highest rate permitted by law if lower.
2.4 Billing Errors. Client may notify Buzzword in writing of any billing error within fifteen (15) days of the charge. Billing errors not raised within fifteen (15) days are waived.
2.5 Fee Changes. Buzzword may change Fees with written notice no fewer than sixty (60) days before the change takes effect. Fees never change during an Initial Term; a change can take effect only during the month-to-month continuation described in Section 1.2.
You and your team get CRM access for as long as you're subscribed. Keep your logins to yourselves and use the platform for its job: winning dentists. It's not built to hold patient information, so don't put any in it. When an Order Form ends you have 15 days to export your data.
3.1 CRM Platform Access. Buzzword grants Client and its Authorized Users access to the CRM Platform during the Subscription Term solely for the purpose of receiving and managing the Services.
3.2 Authorized Users. "Authorized Users" means Client's employees and contractors accessing the CRM Platform for Client's benefit. Client is responsible for its Authorized Users' use of the Services and for keeping login credentials confidential.
3.3 Data Export. Upon termination or expiration of an Order Form, Client may export its data from the CRM Platform within fifteen (15) days of the termination date.
3.4 No Patient Information. The Services are business-to-business marketing tools and are not designed or offered for creating, receiving, storing, or transmitting protected health information as defined by HIPAA. Client shall not introduce patient information into the CRM Platform or any Buzzword system. No business associate agreement is offered or created by this Agreement.
You own your data and your contacts, and any dentist that converts to your active account. Our AI automations, the systems behind them, and the marketing lead data our systems generate before a lead converts to you stay ours. We protect data with reasonable safeguards and tell you fast if anything is breached.
4.1 Customer Data. "Customer Data" means data Client provides to Buzzword, Client's existing contact and dentist records, and data relating to any dentist that has converted to an active Client account. Client retains all right, title, and interest in and to Customer Data. Buzzword may access and use Customer Data solely to deliver the Services.
4.2 Marketing Lead Data. "Marketing Lead Data" means campaign engagement data, analytics, conversation logs, and pipeline data generated by Buzzword's systems before a lead converts to Client. Marketing Lead Data does not include Customer Data or data relating to any dentist that has converted to an active Client account. Marketing Lead Data is and remains the sole property of Buzzword.
4.3 Data Protection. Buzzword maintains commercially reasonable administrative, technical, and physical safeguards for data held in its systems, and will notify Client without undue delay of any confirmed security breach affecting Customer Data.
Keep your licenses current and tell us fast if your regulatory status changes. Give us accurate brand assets, pricing, and formulary, plus photo and video within 72 hours when we ask, and send approvals back within 5 business days. Name someone to run new-dentist onboarding calls and keep their calendar open. We send every marketing piece and bot script to you for approval before launch. Because the campaigns run under your name and your licenses, you carry the liability for health and efficacy claims and for anything you approve. Keep our tracking pixels installed, and keep your website's privacy notices current, so we can measure results the right way.
5.1 Licenses and Regulatory Status. Client shall maintain all licenses and registrations required to operate its business, and shall notify Buzzword promptly in writing of any material change in its regulatory status, including any action by a state board, the FDA, or the DEA.
5.2 Materials and Approvals. Client shall provide accurate brand assets, pricing, formulary, and other reasonably requested materials, including photo and video within seventy two (72) hours of a request, and shall respond to approval requests within five (5) business days.
5.3 Approval of Marketing Materials. Buzzword will submit all marketing materials and AI Automation scripts to Client's designated approvers prior to launch. Client's use or approval of such materials constitutes Client's confirmation that the materials comply with all applicable regulatory standards. Buzzword does not provide legal or regulatory advice.
5.4 Account Coordinator. Client shall designate an Account Coordinator responsible for conducting onboarding calls with new dentists and managing Client's day-to-day relationship with Buzzword.
5.5 Lead Communications and Consent. Client authorizes Buzzword to send emails, text messages, and AI-assisted communications to leads and contacts on Client's behalf as part of the Services. Buzzword-built forms include language capturing consent to be contacted. Client is responsible for the lawfulness of contact with any list or contacts Client provides from outside the Services, for compliance with communications laws applicable to messages sent on its behalf, including the TCPA and CAN-SPAM, and for honoring opt-out requests recorded in the CRM.
5.6 Campaign Liability. Client assumes all liability arising from marketing campaigns and AI Automation communications, including health claims, efficacy claims, outcome claims, or substantiation issues regarding compounded medications, and any regulatory enforcement actions arising from Client's marketing activities.
5.7 Tracking Infrastructure and Privacy Notices. Client shall install and maintain any tracking pixels, server-side events, or analytics scripts that Buzzword reasonably requires. Client is responsible for its own website privacy policy, cookie and tracking disclosures, and any visitor consent required by applicable law, and shall keep them accurate and current while tracking is installed. Buzzword shall not be liable for performance shortfalls caused by failure to maintain tracking infrastructure.
Our systems, frameworks, automations, and methods stay ours; the service is licensed to you, not sold. Your brand and trademarks stay yours; we use them only to run your campaigns. The specific ad creative and copy we make for you becomes yours once it is paid for. And because we're proud of the work, we may name you and share campaign results as examples; tell us in writing any time and we'll stop.
6.1 Buzzword IP. Buzzword retains all right, title, and interest in and to its proprietary systems, methodologies, platforms, tools, AI Automations, and infrastructure. The Services are licensed, not sold.
6.2 Client Marks. Client's names, logos, and trademarks remain Client's property. Buzzword may use them solely to deliver the Services and as Section 6.4 permits.
6.3 Creative Deliverables. Marketing materials created specifically for Client, including ad creative, copy, social media content, and custom graphics, become Client's property upon full payment of all Fees associated with such materials.
6.4 Showing Our Work. Buzzword may identify Client by name and share campaign results and creative examples in Buzzword's own marketing, including case studies. Buzzword will not share patient information or Client's Confidential Information beyond headline campaign metrics. Client may opt out at any time by written notice, and Buzzword will stop new uses within ten (10) business days of that notice.
Both sides keep each other's private information private: use it only for this engagement, protect it like your own, and return or delete it when asked. Things that are public, or that a side already knew, aren't covered. This holds through the agreement and for 3 years after, and for trade secrets as long as they stay secret.
7.1 Confidential Information. "Confidential Information" means non-public information one Party discloses to the other that is marked confidential or that a reasonable person would understand to be confidential, including pricing, business plans, Customer Data, campaign strategy, and Buzzword's systems, prompts, automation designs, and the Buzz Iron Cadence™.
7.2 Obligations. The receiving Party shall use Confidential Information only to perform under this Agreement, protect it with at least reasonable care, and disclose it only to people who need it for this Agreement and are bound to protect it. On written request, the receiving Party shall return or delete the other Party's Confidential Information, except copies retained under law or routine backup.
7.3 Exclusions. Information is not Confidential Information if it is or becomes public through no fault of the receiving Party, was lawfully known to the receiving Party before disclosure, is independently developed without use of the other Party's information, or is rightfully received from a third party without a duty of confidentiality.
7.4 Compelled Disclosure. A Party may disclose Confidential Information to the extent required by law, and shall give the other Party prompt written notice where legally permitted so the other Party may seek protective treatment.
7.5 Duration. These obligations apply during the term of this Agreement and for three (3) years after it ends, and for trade secrets, for as long as the information remains a trade secret. Section 6.4 is an agreed exception for the uses it describes.
Apart from the lead commitment in Article 8A, the service is provided as is; we don't guarantee a specific number of dentists or revenue (nobody honest can). Our work also rides on platforms we don't control, Meta most of all; if a platform has an outage or changes its rules, that's not us breaking the contract, and we'll work with you to route around it. If something ever goes legally wrong, our total liability is capped at what you paid us in the prior 12 months, and neither side owes the other for indirect or lost-profit damages.
8.1 Disclaimer. Except for the Lead Performance Commitment expressly set forth in Article 8A, the Services are provided as is and as available. Buzzword does not warrant specific marketing outcomes, dentist conversion rates, or revenue results.
8.2 Platform Dependence. The Services depend on third-party platforms, including Meta. A platform outage, policy change, review, restriction, or suspension is not a breach of this Agreement by Buzzword. Buzzword shall use commercially reasonable efforts to work with Client to restore or adapt affected campaigns.
8.3 Limitation of Liability. Neither Party is liable to the other for indirect, incidental, consequential, special, or punitive damages, or for lost profits or lost revenue. Buzzword's total aggregate liability shall not exceed the total Fees paid by Client to Buzzword in the twelve (12) months preceding the event giving rise to the claim. Nothing in this Section limits Client's obligation to pay Fees owed under this Agreement.
8.4 Indemnification. Client shall defend, indemnify, and hold harmless Buzzword from third-party claims arising out of Client's business operations, products and services, regulatory violations, marketing materials used or approved by Client, Client's website privacy practices and visitor disclosures, contact lists Client provides from outside the Services, and consent for communications sent to Client's leads and contacts.
On Scale or Empire we commit to 50 qualified dentist leads in your first 120 days of live campaigns. Miss it and you pick: we keep working with no monthly fee until you hit 50 (capped at 60 days), or you walk with no termination fee and nothing else owed. The clock starts when your first campaign goes live, not when you sign, and it pauses if ads are paused, spend drops under $125 a day, approvals sit longer than three business days, tracking is down, fees are behind, or the ad platform itself suspends or blocks campaigns.
8A.1 The Commitment. Where the Order Form specifies the Scale or Empire plan, Buzzword commits that Client shall receive no fewer than fifty (50) Qualified Leads during the Commitment Period.
8A.2 Qualified Lead. A "Qualified Lead" is a dentist, clinician, or clinic decision maker who submits a Buzzword-built form, landing page, or booking asset requesting contact from Client's business, and whose submission is recorded in the CRM. Impressions, clicks, video views, page visits, and social engagements are excluded. Duplicate submissions from the same individual within any thirty (30) day period count once. A lead is not disqualified because it fails to convert to a customer relationship.
8A.3 Commitment Period. The one hundred twenty (120) consecutive calendar days beginning on the date Buzzword launches Client's first paid campaign, not the Effective Date. If campaigns are paused at Client's request or by Client's action, the Commitment Period tolls for the duration of the pause and resumes on relaunch. The Commitment Period also tolls during any platform-imposed suspension, restriction, or outage that prevents campaigns from running, and resumes when campaigns can run again.
8A.4 Client Conditions. The Commitment is a shared undertaking: Buzzword can generate dentist interest, but only Client can convert it, and a lead that is not worked promptly is not a lead Buzzword can be measured on. The Commitment therefore applies only while Client (a) maintains paid media spend of at least one hundred twenty five dollars ($125.00) per day, funded directly to the advertising platform; (b) furnishes approvals, brand assets, and required materials within three (3) business days of a written request from Buzzword; (c) designates a primary sales representative or contact whose responsibility is to call and follow up on inbound leads within the response times in this Section, and notifies Buzzword in writing of any change to that person; (d) places a first call to each inbound lead within fifteen (15) minutes of that lead entering the CRM, during Client's stated business hours, for no fewer than eighty five percent (85%) of inbound leads measured monthly, and, where the lead does not answer, places no fewer than three (3) call attempts within thirty (30) minutes of the first attempt, ceasing attempts once the lead answers; (e) works each lead thereafter on the Buzz Iron Cadence™, the follow-up sequence Buzzword delivers to Client in advance of launch, and maintains an active, logged-in user working leads in the CRM Platform described in Article 3; (f) maintains the tracking infrastructure described in Article 5; and (g) is current on all Fees. The Buzz Iron Cadence™ is Buzzword's confidential material, licensed to Client for use on this engagement only and subject to Article 7.
8A.4.1 Launch Timing and Catch-Up Spend. Buzzword shall launch Client's campaigns within the build window stated on the Order Form. If launch is delayed for technical reasons, the Commitment Period does not begin until launch. For a number of days equal to the number of days late, counted from the first day of live campaigns, the daily media spend required by 8A.4(a) shall be twice the stated minimum; thereafter it returns to the stated minimum for the remainder of the Commitment Period. Illustration: on a twenty one (21) day build window that launches on day thirty (30), the delay is nine (9) days, and Client shall spend two hundred fifty dollars ($250.00) per day for the first nine (9) days of live campaigns and one hundred twenty five dollars ($125.00) per day thereafter. This provision recovers the media investment the delayed days would have carried and does not increase Client's total media spend across the Commitment Period. Buzzword shall state the number of catch-up days and the adjusted daily amount in writing on the day of launch.
8A.4.2 Measurement and Tolling. Call timing and attempt counts are measured from the CRM record under 8A.6. If Client fails any condition in this Section, the Commitment Period tolls for the duration of the failure. Repeated or continuous failure exceeding thirty (30) aggregate days within the Commitment Period voids the Commitment, and Buzzword shall give written notice before treating the Commitment as void.
8A.5 Client's Remedy. If fewer than fifty (50) Qualified Leads are delivered during the Commitment Period, Client shall elect, in writing within thirty (30) days after the close of the Commitment Period, one of the following, at Client's sole discretion: (a) Continued performance at no charge. Buzzword shall continue to provide the full Services with no monthly Fee until the fiftieth (50th) Qualified Lead is delivered or until sixty (60) days have elapsed, whichever occurs first (the "Extension Period"). Client remains responsible for its own paid media spend during the Extension Period, and Sections 8A.4(a) through (g) continue to apply. Or (b) Exit without penalty. Client may terminate the applicable Order Form upon written notice, and Article 9.1 shall not apply. No termination fee, acceleration, or remaining-term liability shall be owed. Fees already paid for Services already rendered are not refundable. If Client does not elect within the thirty (30) day window, remedy (a) applies by default. This Section states Buzzword's entire liability and Client's exclusive remedy for failure to meet the Commitment.
8A.6 Records. The CRM record is the system of record for counting Qualified Leads. Buzzword shall make the count available to Client on request at any time during the Commitment Period.
8A.7 End of the Extension Period. If Client elected remedy 8A.5(a) and the fiftieth (50th) Qualified Lead has not been delivered by the end of the Extension Period, Client shall elect, in writing within fifteen (15) days, either to (i) terminate the applicable Order Form, in which case Article 9.1 shall not apply and no termination fee, acceleration, or remaining-term liability shall be owed; or (ii) resume the Services at the Fees stated in the Order Form. If Client does not elect within that window, the Services resume at the stated Fees. Buzzword's obligation to provide Services without Fee ends at the close of the Extension Period in all cases, and the Commitment is fully satisfied and discharged at that point.
Because we carry the full build and team cost up front, if you cancel an Order Form early (before your initial term ends), the rest of that term's fees become due right away. After the initial term you are month to month, and leaving works the easy way described in Article 1. The exception: if we materially break the contract and do not fix it, you can leave without that. Either side can end an Order Form for cause with 30 days notice if the other breaks it and does not fix it in 30 days (15 days for licensing, DEA, or FDA issues). When an Order Form ends, access and the AI automations switch off, we hand back your ad account, and you export your data.
9.1 Acceleration of Fees. Upon early termination of an Order Form for any reason prior to the end of the Initial Term stated on that Order Form, all remaining Fees for that Initial Term shall immediately accelerate and become due and payable in full. This Section does not apply to the month-to-month continuation, which ends only as Section 1.2 describes. The Parties agree that Buzzword incurs its build, staffing, and onboarding costs at the start of a term and prices committed terms accordingly, and that this acceleration is a reasonable estimate of Buzzword's loss from early termination and not a penalty. The foregoing shall not apply in the event of termination by Client due to Buzzword's uncured material breach, or where Client exercises the remedy set forth in Article 8A.5(b).
9.2 Termination for Cause. Either Party may terminate for cause upon thirty (30) days written notice if the other commits a material breach and fails to cure within thirty (30) days. For regulatory, licensing, DEA, or FDA breaches, the cure period is fifteen (15) days.
9.3 Effect of Termination. When an Order Form terminates or expires, Client's access to the CRM Platform and AI Automations ends, Buzzword releases its partner access to Client's ad account, Client may export its data under Section 3.3, and each Party shall pay all amounts owed through the termination date.
9.4 Survival. Provisions that by their nature should survive termination do survive, including payment obligations, Articles 4, 6, 7, and 10, and Sections 8.1, 8.3, 8.4, and 9.1.
If there is ever a dispute, we talk it out in good faith first (leaders on both sides, within a few business days). If that does not work in 15 days, either side can go to court. Wyoming law governs, Wyoming courts, both sides waive a jury trial, and whoever wins gets their legal fees back.
10.1 Talk First. Before filing any action, a Party shall send the other a written description of the dispute, and a principal or executive of each Party shall confer in good faith within five (5) business days of that notice. If the dispute is not resolved within fifteen (15) days of the notice, either Party may pursue its remedies.
10.2 Governing Law. This Agreement shall be governed by the laws of the State of Wyoming. Each Party consents to the exclusive jurisdiction of the state and federal courts located in Wyoming and irrevocably waives any right to a trial by jury.
10.3 Attorneys' Fees. In any action to enforce this Agreement, the prevailing Party may recover its reasonable attorneys' fees and costs.
The housekeeping: the insurance we carry, how official notices work, and the standard terms that keep this agreement tidy no matter what happens around it.
11.1 Insurance. Buzzword maintains Commercial General Liability, Professional Liability (Errors and Omissions), and Cyber Liability insurance and will provide a Certificate of Insurance upon request.
11.2 Notices. Notices under this Agreement must be in writing and are sent by email: to Buzzword at josh@buzzwordstrategies.com, and to Client at the signer email on the Order Form. A notice is effective on the first business day after it is sent. Either Party may update its notice address by notice given under this Section.
11.3 Assignment. Neither Party may assign this Agreement without the other's prior written consent, except that Buzzword may assign it to an affiliate or in connection with a merger, acquisition, or sale of all or substantially all of its business. This Agreement binds and benefits the Parties' permitted successors and assigns.
11.4 Force Majeure. Neither Party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, internet or utility failures, government action, or labor disputes. Payment for Services already delivered is not excused.
11.5 No Hiring Away. During the term of this Agreement and for twelve (12) months after it ends, neither Party will solicit for employment or engagement the other Party's employees or contractors it worked with under this Agreement. A general job posting not directed at those people is not a breach.
11.6 Independent Contractor. Buzzword is an independent contractor and not an employee, agent, partner, or joint venturer of Client.
11.7 Severability and Waiver. If any provision of this Agreement is held unenforceable, the rest of the Agreement remains in effect and the provision is enforced to the maximum extent permitted. A Party's failure to enforce a provision is not a waiver of it.
11.8 Amendment. Changes to this Agreement must be in a writing signed by both Parties. An Order Form may vary terms only for itself, as Section 1.1 describes.
Electronic signature. Both parties agree this Agreement may be signed electronically and that an electronic signature has the same effect as a handwritten one. This Agreement, together with the Order Form, is the entire agreement between the parties and replaces any earlier discussions.
